Corporate/Securities Law Clerk

Overview

Abrahams LLP is seeking an experience and self-driven law clerk to join our Business Law Group at the Toronto Annex office location. 3+ years working experience as a securities/corporate law clerk at a large or boutique law firm with a strong background in general corporate law is an asset.

Corporate:

  • Knowledge of the Ontario Business Corporations ActCanada Business Corporations ActLimited Partnerships Act and Business Names Act
  • Conducting corporate searches;
  • Preparing documentation in support of corporate transactions and proceedings including: incorporations, dissolutions, revivals, amalgamations, continuances, director and officer changes, issuance and transfer of shares, changes to authorized capital, dividend declarations, redemption of shares, unanimous shareholder declarations and purchase of shares for cancellation
  • Arrange for extra-provincial registrations of corporations in other jurisdictions
  • Review and maintenance of minute books, general and annual corporate filings

Securities:

  • Drafting insider and early warning reports and monitor public company e-filings on SEDAR and SEDI along with other related regulatory filings
  • Issuing press releases with applicable newswires services
  • Draft documentation relevant to public/private distributions of securities and related corporate transactions
  • Monitor and maintain compliance deadlines
  • Maintain and update forms and processes in compliance with securities rules and regulations

Abilities & Team Fit

  • Law Clerk Diploma or from an accredited Ontario college
  • A minimum of 3+ years securities law clerk experience gained in a law firm with a strong corporate background
  • Experience with SEDAR, SEDI and TSX
  • Knowledge of legal and technical procedures, statutes, regulations and government practices applicable to the securities and corporate areas
  • Experience working on PC Law and Clio
  • Highly organized, ability to prioritize work in a fast-paced environment and excellent attention to detail
